1. Who we are
CapientOS (the "Platform") is an investor-relations and total-shareholder-return (TSR) platform operated by Capient AS, a company registered in Norway (organisation no. 988 350 362), with its registered office at Drammensveien 133, 0277 Oslo, Norway ("Capient", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the Platform.
2. Agreement to these Terms
By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy. If you are entering into these Terms on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" refers to that organisation. If you do not agree, do not use the Platform.
3. The service
The Platform helps publicly listed companies and their advisers manage investor relations and shareholder value. Features include market and peer dashboards, KPI targets, advisory mandates and plans, and AI-authored IR deliverables produced by our IQ assistant (e.g. board updates, earnings materials, analyst Q&A and related documents). We may add, change, or remove features over time.
4. Accounts and organisations
Accounts may be created for and managed by an organisation. You agree to:
- Provide accurate and complete registration information;
- Keep your login credentials secure and confidential;
- Notify us promptly of any unauthorised use of your account;
- Be responsible for all activity under your account.
An organisation's administrators may add, manage, or remove members and may access content created within the organisation's workspace.
5. AI-generated content
The Platform uses AI to draft and assist with IR deliverables. AI output is provided as a draft and may contain errors, omissions, or inaccuracies. You are responsible for reviewing, verifying, and approving any output before relying on it, publishing it, or sharing it with third parties. AI output is not financial, investment, legal, tax, or accounting advice.
6. Market data and third-party information
The Platform incorporates market, financial, and other data from third-party providers. This information is provided "as is", may be delayed or inaccurate, and is licensed for use within the Platform only. You may not redistribute or resell third-party data except as permitted by us and the relevant provider.
7. Your responsibilities and acceptable use
You agree not to:
- Violate any applicable laws or regulations;
- Upload, input, or process material non-public information (inside information) or any data in breach of market-abuse, securities, or confidentiality obligations;
- Infringe the intellectual-property or privacy rights of others;
- Upload malware or attempt to gain unauthorised access to our systems;
- Reverse-engineer, scrape, or use the Platform to build a competing product, or use it other than as intended.
You are solely responsible for ensuring that your use of the Platform, and any deliverables you publish, comply with the disclosure, market-abuse, and other legal obligations applicable to you.
8. Intellectual property
The Platform, including its software, design, and the Capient methodology and frameworks, is owned by Capient or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Platform during your subscription. You retain ownership of the content and data you submit ("Customer Content"), and grant us the rights needed to host and process it to provide the Platform.
9. Fees and subscriptions
Where the Platform is provided under a paid subscription or order, you agree to pay the fees set out in the applicable order or agreement. Unless that agreement states otherwise, fees are exclusive of VAT and other taxes, and are non-refundable except as required by law.
10. Confidentiality
Each party will protect the other's confidential information and use it only to perform under these Terms. Customer Content is treated as your confidential information.
11. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not warrant that the Platform or any AI output or data will be uninterrupted, error-free, accurate, or fit for a particular purpose.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPIENT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. CAPIENT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE AMOUNTS YOU PAID TO CAPIENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Term and termination
We may suspend or terminate your access if you materially breach these Terms or where required to protect the Platform or comply with law. You may stop using the Platform at any time. On termination, your right to use the Platform ends; we will make Customer Content available for export for a reasonable period as described in our Privacy Policy, after which it may be deleted.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Platform. Your continued use after the changes take effect constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of Norway, without regard to conflict-of-laws rules. The courts of Oslo, Norway have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights you may have in your country of residence.
